Terms and Conditions

Acceptance of Terms: Acceptance of any order by DWG is expressly conditioned upon Buyer's assent to DWG's Terms and Conditions. These Terms and Conditions govern the sale of all products by DWG and supersede any conflicting or additional terms.

Conflicting Terms: Any additional or different terms contained in Buyer's purchase order or other documents are hereby objected to and rejected, and shall not be binding on DWG unless expressly agreed to in writing by an authorized representative of DWG. DWG's commencement of performance or shipment of products shall not constitute acceptance of any of Buyer's terms.

1. Privacy: We will not rent or sell your name, address, email address, credit card information, or any other personal information to any third party. If you have purchased from us or created an account, we may occasionally update you via email to announce special discounts, product updates, promotions, or new features. If you do not wish to receive email, simply follow the unsubscribe instructions.

2. Shipment: All shipments are made F.O.B. DWG's shipping point unless otherwise specified. DWG selects the carrier. Title to products and risk of loss pass to Buyer upon delivery to the carrier. Buyer assumes all risk once products are handed over.

3. Delivery: DWG shall not be responsible for loss, damage, delay, or failure with respect to products due to shortages of raw materials, fires, labor troubles, accidents, machinery breakdowns, government acts, supplier failures, transportation difficulties, acts of God, or Buyer's actions. DWG may apportion its inventory among customers, and liability for damages is limited as specified.

4. Return for Credit Unused Product: At its option, DWG may accept returns for store credit for unused products in their original packaging and condition that could be sold as new, provided the product was purchased within 14 days. Buyer must provide proof of purchase and method of payment. Buyer is responsible for return freight; restocking fees apply. Special order items are non-returnable or subject to a restocking fee. It is the customer's responsibility to confirm compatibility before purchase. Return requests due to incompatibility may be denied.

5. Return for Refund: DWG does not offer returns for refunds, but in certain cases may offer a refund in good faith. A 20% restocking fee (minimum $25) applies; in some cases DWG may reduce the fee in good faith. A minimum of 5% restocking fee applies due to processing costs.

6. Defective Product Replacement Policy: Defective products may be exchanged for a new product at no charge or returned for credit per the manufacturer's policy. Buyer must provide proof of purchase. DWG will, at Buyer's cost, ship the product to the manufacturer. All defective product claims are subject to manufacturer verification. If the manufacturer determines the product is not defective, Buyer shall pay all testing, handling, and shipping charges.

7. Repairs of Product Under Warranty: DWG will ship products for warranty or service to the appropriate manufacturer. Any repair, shipping, or handling costs not covered by the manufacturer will be passed on to Buyer.

8. Cancelled Orders: Cancelled orders are subject to a 20% restocking fee. Credit card refunds incur a 3% processing fee. For non-cancelable items, no cancellation privileges apply.

9. Damaged Items: If you receive products in a visibly damaged container, contact DWG immediately so we can arrange an evaluation by the shipping provider.

10. Exclusion of Warranties: DWG provides no warranties, express or implied. Manufacturer warranties are passed on to the Buyer. DWG sells products on an "as is" basis. If a product fails to meet the vendor warranty, DWG may repair, replace, or credit the product per the manufacturer's terms.

11. DWG as Distributor Only: DWG is a distributor of products manufactured by third parties and does not manufacture the products it sells. Buyer acknowledges that DWG is not responsible for product design, system design, installation, integration, or configuration of products.

12. Improper Installation or Use: DWG shall not be liable for damages resulting from improper installation, misuse, modification, or operation outside manufacturer specifications.

13. Limitation of Liability: DWG's liability on any claim shall not exceed the price paid by Buyer for the products that give rise to the claim. DWG and its vendors shall not be liable for any special, consequential, incidental, or punitive damages.

14. Customer Indemnification: Buyer agrees to indemnify and hold harmless DWG from claims arising from misuse, improper installation, or modification of products.

15. Payments: DWG offers flexible payment options including Credit Card and ACH. Net 30 customers agree to pay within 30 days of the invoice date. Open balances are subject to an 18% per annum late fee until resolved.

16. Taxes: Buyer shall be responsible for all applicable sales, use, and similar taxes unless a valid exemption certificate is provided.

17. Force Majeure: DWG shall not be liable for failure or delay due to events beyond its reasonable control including acts of God, supplier shortages, transportation disruptions, or governmental actions.

18. Governing Law: These Terms and Conditions shall be governed by the laws of the State of New York.

19. Venue: Any disputes shall be resolved in the courts located in New York.
